1. Overview

Welcome to Next Path Design. These Terms of Use ("Terms") govern your use of our online courses, community spaces, and related materials provided through Kajabi. By purchasing or accessing our courses, you agree to these Terms and our Privacy Policy.

You must be at least 18 years old to purchase or access our courses. If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian.

2. Course Access

When you purchase a course from Next Path Design, you receive access to the course materials for the time period specified on the course's offer or checkout page (for example, 180 days from the date of purchase). After this period, your access will expire automatically unless you purchase an extension.

All courses have time-limited access. The specific access period for your course is clearly stated at the time of purchase. We may offer the option to extend or renew access for an additional fee, but this is at our discretion.

Technical Requirements

To access our courses, you'll need a device with internet access, a modern web browser (Chrome, Firefox, Safari, or Edge), and the ability to stream video content. We are not responsible if you cannot access materials due to incompatible devices or insufficient internet connectivity.

Course Support

Our courses are designed to be self-guided learning experiences. While we strive to make materials clear and comprehensive, we do not provide one-on-one technical support, personalized troubleshooting, or implementation assistance.

If you encounter technical issues accessing the course platform itself, please contact us. For questions about implementing the course concepts or using third-party tools mentioned in the materials (such as ChatGPT, Canva, or other software), we recommend consulting those tools' official documentation or support channels.

3. Community Access

Some courses include complimentary access to a private community or discussion space hosted on Kajabi or other platforms. This community access is provided as a free bonus and is not part of the paid course itself.

We may limit, suspend, or revoke community access if a participant violates our Code of Conduct (see Section 8), engages in disruptive behavior, or for operational reasons. Revoking community access does not affect your paid course access or qualify you for a refund, except as outlined in Section 5.

Student Content: By posting in our community, you grant us a non-exclusive license to use, display, and moderate your posts within the community space. You retain ownership of your contributions, but you may not post content that infringes on others' intellectual property rights.

4. Payment and Pricing

Payment is required in full at the time of purchase unless a payment plan is explicitly offered. All prices are in U.S. dollars. We reserve the right to change course pricing at any time, but price changes will not affect purchases already made.

If you are enrolled in a payment plan and miss a payment, your course access may be suspended until payment is received. After 30 days of non-payment, we may terminate your access without refund for payments already made.

5. Refund Policy

Because our courses are digital products with immediate access to materials, we offer a 7-day satisfaction guarantee from the date of purchase.

Refund Eligibility:

  • Within 7 days of purchase, you may request a full refund if the course does not meet your expectations and you have accessed less than 25% of the course content (measured by lessons/modules completed).
  • After 7 days or after you have completed 25% or more of the course, no refunds will be issued.
  • Refunds are issued to the original payment method and may take 5-10 business days to process.

Non-refundable items: Any downloadable resources you have permanently downloaded, one-on-one coaching sessions you have attended, or bonus materials clearly marked as non-refundable at checkout are not eligible for refund.

6. Intellectual Property

All course materials, including videos, downloads, worksheets, text, graphics, audio files, and other content, are the intellectual property of Next Path Design and are protected by copyright law.

Your purchase grants you a limited, personal, non-transferable, non-exclusive license to view and use the materials for your own personal learning. You may not:

  • Copy, share, distribute, or publicly display any course materials
  • Record, screenshot, or reproduce video or audio content
  • Sell, rent, or sublicense access to any materials
  • Use materials for commercial purposes without written permission

Unauthorized sharing or resale of course materials may result in immediate termination of access without refund and potential legal action.

7. Personal Accounts

You are responsible for maintaining the confidentiality of your Kajabi login credentials. Do not share your password with anyone. Accounts are intended for individual use only.

Sharing your login credentials or course materials with others may result in suspension or termination of access without refund. You agree to notify us immediately if you suspect unauthorized access to your account.

8. Code of Conduct

Our community is a supportive space for learning and connection. By participating, you agree to:

  • Engage respectfully and professionally with others
  • Avoid harassment, hate speech, discrimination, bullying, or threats
  • Refrain from posting spam, promotional content, or materials unrelated to the course
  • Respect others' privacy and intellectual property
  • Not impersonate others or misrepresent your affiliation with any person or organization

We reserve the right to remove posts, issue warnings, temporarily suspend, or permanently revoke community access if these guidelines are not followed. Decisions regarding community moderation are made at our sole discretion and are final.

Repeated or severe violations may also result in termination of your course access without refund.

9. Disclaimers and Educational Purpose

All course materials are provided for educational and informational purposes only. Courses are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guaranteed Results: We make no guarantees, representations, or warranties regarding specific outcomes, business results, income, career advancement, or professional success. Your results depend entirely on your own effort, skills, background, and application of the material.

Not Professional Advice: Our courses do not constitute legal, financial, medical, therapeutic, or other professional advice. If you need professional guidance, please consult a licensed professional in your jurisdiction.

No Instructor-Student Relationship: Participation in our courses does not create a formal instructor-student relationship beyond the scope of the course materials provided.

Third-Party Tools and Software: Our courses may reference, demonstrate, or teach concepts using third-party tools and software (including but not limited to AI platforms like ChatGPT, design tools like Canva, or other applications). We are not affiliated with, endorsed by, or responsible for these third-party services. You use such tools at your own risk and are responsible for:

  • Complying with each tool's terms of service and acceptable use policies
  • Verifying the accuracy, originality, and legal compliance of any content you create using these tools
  • Understanding that AI-generated content may contain errors, biases, or inaccuracies
  • Ensuring your use of AI tools does not infringe on others' intellectual property rights

We are not liable for any issues arising from your use of third-party tools, including but not limited to data privacy concerns, copyright infringement, or factual inaccuracies in AI-generated output.

We do not warrant that course materials will be error-free, uninterrupted, or meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Next Path Design, its owners, instructors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our courses, community, or materials, even if we have been advised of the possibility of such damages.

This includes, but is not limited to, damages for loss of profits, data, business opportunities, or other intangible losses.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID FOR THE COURSE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Next Path Design, its instructors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your misuse of course materials or community spaces

12. Dispute Resolution and Arbitration

Please read this section carefully as it affects your legal rights.

Informal Resolution

If you have a dispute with us, please first contact us at [email protected] to attempt to resolve the matter informally. We commit to working with you in good faith to resolve any concerns.

Binding Arbitration

If we cannot resolve a dispute informally within 30 days, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our courses shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration will be conducted in Illinois (or remotely via video conference), and the arbitrator's decision will be final and binding. Each party will bear its own costs and fees, including attorney's fees, unless the arbitrator decides otherwise.

Class Action Waiver

You agree to resolve disputes with us only on an individual basis, and you waive any right to bring claims against us as a plaintiff or class member in any class, consolidated, or representative action.

Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights, and you may bring claims in small claims court if they qualify.

Opt-Out

You may opt out of this arbitration agreement by emailing us at [email protected] within 30 days of first accepting these Terms, clearly stating your intent to opt out. If you opt out, all other terms still apply.

13. Changes to Courses and Platform

We reserve the right to modify, update, or discontinue any course or community feature at any time. If we discontinue a course you have purchased before your access period ends, we will:

  • Provide reasonable notice when possible
  • Offer access to replacement materials or a comparable course, or
  • Issue a prorated refund based on your remaining access period

We are not liable for any modifications, suspensions, or discontinuations of courses or services.

14. Force Majeure

We are not responsible for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or technology failures, or issues with third-party platforms (such as Kajabi).

15. Assignment and Transfer

You may not assign, transfer, or sublicense your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to another entity, such as in connection with a merger, acquisition, or sale of assets. You will be notified of any such transfer.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Next Path Design regarding your use of our courses and supersede any prior agreements or understandings.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 12, any legal action or proceeding shall be brought exclusively in the courts of Illinois, and you consent to the jurisdiction of such courts.

19. Updates to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or operational needs. Any changes will be posted on this page with the "Last updated" date shown above.

Material changes will be communicated to active students via email at least 30 days before taking effect. Your continued use of our courses after changes take effect constitutes your acceptance of the updated Terms.

21. Copyright and DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same.

Reporting Copyright Infringement

If you believe that content posted in our community or course materials infringes your copyright, please send a DMCA notice to our designated agent at [email protected] with the subject line "DMCA Takedown Request."

Your notice must include:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and where it is located
  • Your contact information (address, phone number, email)
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification to the same email address with evidence supporting your claim.

Repeat Infringer Policy

We will terminate the accounts of users who are repeat copyright infringers.
